TERMS & CONDITIONS - AN AGREEMENT


         By submitting an Application for Service you agree to these Terms & Conditions.

         You affirm  that you have read, examined, considered, understand, approve, accept, and agree to these Terms & Conditions and you personally and you on behalf of any person or persons, companies or corporations you work for, own, operate, or otherwise represent now or in the future,  authorize JALDATA / Infonet, Inc., its representatives, employees and agents, to enforce  these Terms & Conditions and all actions defined herein.

         You acknowledge and agree and affirm that all statements contained in the Application for Service and Terms & Conditions are cooperative and binding.  You agree that We (JALDATA / Infonet, Inc)  may revise or change these Terms & Conditions periodically on the JALDATA/ Infonet Web Site, www.jaldata-infonet.com.  Your use of the service will confirm your acceptance of the changes we make to these Terms and Conditions or any services or fees or charges offered or described.

         We reserve the right to cancel this agreement at any time, for any reason.  We may assign our rights and duties under this agreement to others at any time without notifying you.  You may not assign your rights and duties under this agreement to others.

         You agree, promise and declare with certainty and without reservation to defend, indemnify and hold harmless JALDATA / Infonet, Inc., it's investors, interest holders, owners, officers, employees, associates, vendors and clients or successors from any and all claims, costs or actions resulting from liability in any matter in any venue caused by your use or misuse of information provided by us to you.

         You acknowledge and understand that any and all  information we provide to you is for reference purposes only.   We make reasonable efforts to provide accurate and timely information in response to your order but you alone are responsible to verify or otherwise confirm the validity and accuracy of information returned by us to you.

         We may not retain copies of work completed and returned to you.  Any replacement may be considered a new order and may be billed as such.

We will fulfill your order and return information to you regardless of content and you acknowledge and accept as fact that errors do occur in the exchange of information and you agree, promise and declare with certainty and without reservation to defend, indemnify and hold harmless JALDATA / Infonet, Inc., it's investors, interest holders, owners, officers, employees, associates, vendors and clients from any and all claims, costs or actions resulting from errors in any information we provide to you.  Despite any errors, the value of the returned information is only as worthy as is reflected by prices shown on our services menu.  Disputed returns may be considered canceled orders and canceled orders may incur charges not to exceed the price of the menu items.

         You authorize us to access, obtain and examine your personal and business credit files and records and you authorize us to contact the persons, businesses or other entities revealed in those files and any other records so we may make an informed decision regarding granting credit to you and your business.

         You are required to provide to us all information requested in the form "Application for         Service", including copies of Corporate Certificates, business & professional licenses, and any other documentation we request.  Failure to comply with such requests may cause denial of service.  An incomplete "Application for Service" will not be accepted and may cause a denial of service.  We will thoroughly examine the business and personal credit files and records of each applicant and we reserve and secure the right to examine those files and records at any time and to extend or deny credit to you or the companies or corporations you represent within the guidelines of the Federal Fair Credit Reporting Act.

         We may act to confirm the validity and status of licenses and registrations at the time of         application and at each renewal period or at any other time.  You are required to provide to us copies of license and registration documents at the initial time of application and at each renewal and failure to comply may cause a denial of service.  We may interrupt your service until such documentation is provided or when documentation supports the suspicion or conclusion that license and registration information provided by you is invalid, false, expired or revoked.  You may dispute such interruption or denial of service in writing at any time within 90 days after notice of such action.

        
We present monthly billing statements to you on or about the first day of each month.  You agree to pay the balance in full within 30 days of the statement date.  Service may be interrupted if full payment has not been received 45 days from the statement date.

         We will immediately and without exception revoke credit priviledges from customers who do not pay statement balances timely and in full or who pay with dishonored checks.  When credit is revoked, you, after paying all past due balances and penalties, may pre-pay for service by establishing a working balance account or by credit card authorization.

NSF CHECKS - You agree to pay the original face value of the dishonored check and a recovery fee of $20.00.

Checks issued from a closed account are immediately released for collection or prosecution.


         We may elect at any time to initiate legal collection action to secure full and complete payment on any account or any invoice which is past due and you agree that you are responsible to pay the original debt and any and all costs necessary in such collection, including but not limited to service fees, interest, postage, private mail, courier or process service fees, collection agency fees, court costs and fees, attorney fees and any fees or costs charged by attorneys for work performed by their staff and support personnel, all costs incurred by JALDATA / Infonet, Inc., and its representatives and staff and support personnel, and any and all other fees necessary to enact litigation and to enforce collection and judgments concerning your debt.  In addition to and in conjuction with all other remedies to pursue collection of your debt, you understand and agree that JALDATA/ Infonet, Inc., alone or through its representatives, may place liens of security or other interest or seize your personal assets and property or assets and property of the companies or corporations you represent to satisfy unpaid or delinquent debts owed to JALDATA / Infonet, Inc., by you or those companies or corporations you represent.  You agree that the exclusive venue for any legal action in any court shall be Grays Harbor County, Washington, United States of America.

These terms and conditions may be changed at any time without notice.  Such changes will be posted on this page.
